    1. Introduction

    These General Terms and Conditions ("Terms") constitute a legally binding agreement between you and Privé Concierge Limited ("Privé," "we," "us," or "our"), a company registered in Hong Kong. They govern your access to and use of the Privé platform, website (www.prive.life), mobile applications, and payment solutions, including the Prive Card, concierge services, and related services (collectively, the "Services").

    By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you disagree with these Terms, please do not access or use our Services.

    2. Eligibility

    2.1 You must be legally authorized to represent a business entity and have the capacity to enter into binding agreements on its behalf.
    2.2 Our services are designed for businesses, concierge agencies, and service providers seeking access to premium payment infrastructure and curated lifestyle solutions
    2.3 Prive reserves the right to refuse service, suspend access, or terminate accounts at its sole discretion, with or without cause

    3. Membership

    3.1 Membership Types
    Privé offers tiered business membership options designed to suit varying operational needs and service levels. Each tier includes specific benefits, transaction limits, and service features. Full details are available on our website or through your account manager.

    3.2 Application and Approval
    Business membership is subject to application and verification. All applications are reviewed by Privé, and we reserve the right to approve or decline any application at our sole discretion without the obligation to provide a reason.

    3.3 Membership Fees
    Fees are charged annually or as otherwise agreed during onboarding. Unless specified otherwise, membership fees are non-refundable and exclusive of any applicable taxes or transaction charges.

    3.4 Membership Term and Renewal
    Memberships automatically renew at the end of each term unless canceled in accordance with these Terms. Renewal notices, including any changes to pricing or service tiers, will be provided in advance.

    4. Prive Card

    4.1 Issuance

    The Prive Card is issued to eligible members subject to our approval and compliance with applicable regulations.

    4.2 Ownership
    ‍
    The Privé Card remains the property of Prive Concierge Limited and must be surrendered upon request or termination of membership.

    4.3 Authorization
    ‍
    By using the Prive Card, you authorize us to charge your linked payment method for any transactions made with the card, including purchases, fees, and charges.

    4.4 Top-Ups and Funding
    ‍
    You are responsible for ensuring sufficient funds are available for your Prive Card through our designated top-up methods. We may establish minimum and maximum funding amounts.

    4.5 Transaction Limits
    ‍
    Transaction limits may apply based on your membership tier, account history, and other factors determined by Prive.

    4.6 Security
    ‍
    You are responsible for maintaining the security of your Prive Card and promptly reporting any unauthorized use, loss, or theft.

    5. Concierge Services

    5.1 Service Scope
    ‍
    Our concierge services include, but are not limited to, booking and coordinating yacht charters, exotic car rentals, private villa reservations, private jet bookings, and exclusive event access.

    5.2 Third-Party Providers
    ‍
    Prive acts as an intermediary between you and third-party service providers. While we curate and recommend these providers, we do not guarantee their services.

    5.3 Booking Requests
    ‍
    All booking requests are subject to availability and confirmation from the respective service providers.

    5.4 Cancellations and Modifications
    ‍
    Cancellation and modification policies vary by service and provider. Specific terms will be provided at the time of booking.

    6. Payment and Fee

    6.1 Payment Methods
    ‍
    We accept various payment methods for membership fees, card top-ups, and service bookings as specified on our platform.

    6.2 Currency Conversion
    ‍
    Transactions in currencies other than your default currency may be subject to exchange rate fluctuations and conversion fees.

    6.3 Additional Fees
    ‍
    Certain services may incur additional fees, including but not limited to booking fees, concierge service fees, rush fees, or cancellation fees. These will be communicated before confirmation.

    6.4 Price Changes
    ‍
    Prive reserves the right to change prices, fees, and membership costs with reasonable notice.

    7. Intellectual Property

    7.1 All content on the Privé platform, including text, graphics, logos, images, and software, is the property of Prive or its licensors and is protected by intellectual property laws.
    7.2 You may not use, reproduce, distribute, or create derivative works from our content without our express written permission.

    8. Privacy and Data Protection

    8.1 Your personal information is collected, stored, and processed by our Privacy Policy, which is incorporated by reference into these Terms.
    8.2 By using our Services, you consent to our collection and use of your personal information as described in our Privacy Policy.

    9. User Conduct

    9.1 You agree to use our services in compliance with all applicable laws and regulations.
    9.2 Prohibited activities include but are not limited to:
    Using our Services for Illegal Purposes
    Attempting to gain unauthorized access to our systems
    Interfering with the proper functioning of our platform
    Harassing, threatening, or abusing our staff or service providers
    Making fraudulent bookings or transactions

    10. Limitation of liability

    10.1 To the maximum extent permitted by law, Prive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to your use of our Services.
    10.2 Our total liability for any claims relating to these Terms or our Services shall not exceed the amount paid by you to Prive during the twelve (12) months preceding the claim.
    10.3 Prive is not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

    11. Third-Party Services

    11.1 Our services may integrate with or link to third-party services that are not owned or controlled by Prive.
    11.2 Your use of third-party services is subject to the terms and policies of those third parties. Prive is not responsible for the content or practices of any third-party service.
    11.3 While we make reasonable efforts to curate quality third-party service providers, we do not guarantee their performance, reliability, or suitability for particular purposes.

    12. Disclaimer

    12.1 Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
    12.2 Prive does not warrant that our services will be uninterrupted, error-free, or free from harmful components.
    12.3 Prive does not guarantee specific outcomes or satisfaction with third-party services booked through our platform.

    13. Termination

    13.1 By You
    ‍
    You may terminate your membership by providing written notice at least thirty (30) days before your renewal date. Termination requests should be sent to membership@prive.life.

    13.2 By Prive may suspend or terminate your access to our Services at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or at our discretion.

    13.3 Effect of Termination
    ‍
    Upon termination:
    ‍
    All outstanding balances become immediately due
    You must cease using the Prive Card and return it if requested
    You will lose access to all membership benefits
    Pre-booked services may be canceled subject to our cancellation policies

    14. Changes to Terms

    14.1 Prive reserves the right to modify these Terms at any time by posting the revised Terms on our website.
    14.2 Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
    14.3 Material changes will be communicated to members via email or through our platform.

    15. Governing Law and Dispute Resolution

    15.1 These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.
    15.2 Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively through arbitration in Hong Kong in accordance with the rules of the Hong Kong International Arbitration Centre.
    15.3 You agree to submit to the personal jurisdiction of the courts located in Hong Kong for any actions not subject to arbitration.

    16. Indemnification

    You agree to indemnify, defend, and hold harmless Prive, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of a third party.

    17. Force Majeure

    Prive shall not be liable for any failure to perform its obligations under these Terms where such failure is a result of acts of nature, government actions, war, terrorism, civil unrest, fire, explosion, pandemic, epidemic, riot, natural disaster, or other events beyond our reasonable control.

    18. Severity

    If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

    19. Assignment

    You may not assign or transfer these Terms or your rights and obligations hereunder without Prive's prior written consent. Prive may assign these Terms at any time without notice.

    20. Entire Agreement

    These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Prive regarding our Services.

    21. Cross-border Service Restrictions

    Please be aware that the promotion and/or distribution of our products or services outside Hong Kong may require a valid license. The content on this website is intended exclusively for Hong Kong residents who are domiciled in Hong Kong.
    If you are a resident living outside of Hong Kong and do not wish to continue, please close this website. By choosing to proceed, you acknowledge that you have read and understood the information above and are accessing this website on your own initiative without any active promotion or solicitation from Prive.
